“Pine Wave,” “we,” “us,” or “our” refers to Foshan Chancheng Songtaoren Technology Co., Ltd., the operator of this website and provider of the described services. “Services” means all consulting, design, integration, development, and support offerings provided by Pine Wave. “Client,” “you,” or “your” refers to the individual or entity engaging our services or accessing this website.
By using our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a legal entity, you represent that you have the authority to bind that entity. These Terms may be updated from time to time; continued use after changes constitutes acceptance of the updated Terms.
Pine Wave provides computer systems design and integration services, including but not limited to systems architecture, custom integration engineering, embedded and IoT systems development, computer integrated manufacturing solutions, security and compliance consulting, and cloud infrastructure engineering. The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate Statement of Work (SOW) or service agreement signed by both parties.
You agree to cooperate reasonably with Pine Wave in the performance of services, including providing timely access to relevant systems, personnel, documentation, and decision-making. Delays caused by incomplete or late client-provided information may affect project timelines and costs. You represent that you have the legal right to provide any data, access, or materials shared with us in connection with the services.
All intellectual property developed specifically for a client under a paid engagement shall be owned by that client upon full payment, unless otherwise agreed in writing. Pine Wave retains ownership of pre-existing tools, methodologies, libraries, and frameworks used in the delivery of services. We grant you a perpetual, non-exclusive, royalty-free license to use any such pre-existing materials incorporated into deliverables. You retain all rights to your pre-existing intellectual property shared with us for service delivery.
Both parties agree to maintain the confidentiality of proprietary information disclosed during the course of the engagement. Confidential information includes technical specifications, business plans, source code, system architecture, financial data, and any materials clearly marked as confidential or reasonably understood to be confidential. This obligation survives termination of the engagement for a period of five years. Nothing in this section restricts disclosure required by law or by court order.
Fees for services will be as set forth in the applicable SOW or agreement. Invoices are due within thirty days of receipt unless otherwise specified. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. All fees are exclusive of applicable taxes, which will be added to invoices where required. We reserve the right to suspend services for accounts that are more than thirty days past due.
Pine Wave warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. Our services are provided “as is” and “as available,” and to the maximum extent permitted by applicable law, we disclaim all other warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted or error-free.
To the maximum extent permitted by law, Pine Wave’s total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. In no event shall Pine Wave be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption, even if advised of the possibility of such damages.
You agree to indemnify and hold Pine Wave, its officers, employees, and agents harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of our services, or your violation of applicable law or third-party rights.
Either party may terminate a service engagement in accordance with the terms of the applicable SOW or agreement. Without such an agreement, either party may terminate upon thirty days written notice. Upon termination, you must pay all fees due for services rendered up to the effective date of termination. Sections addressing intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved through friendly negotiation. If no resolution is reached, the dispute shall be submitted to the competent courts of Foshan, Guangdong Province, China.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Material changes will be communicated via email or a notice on our website. Your continued use of our services after the effective date of any changes constitutes your acceptance of the modified Terms.
